Terms of Service
1. Definitions
The following capitalised terms have the meanings set out below throughout these Terms:
- "Platform": the Laituri.ai web application, APIs, and related services accessible at www.laituri.ai
- "HR User": a recruiter, hiring manager, or other professional who registers an account to create and manage assessments
- "Candidate": an individual who completes an assessment via the Platform
- "Content": any data, text, or materials submitted to the Platform by a user
- "Services": the assessment creation, AI evaluation, and reporting features provided by Laituri.ai
- "Terms": these Terms of Service
2. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Laituri.ai. By accessing or using the Platform, you confirm that:
- You are at least 18 years old and legally capable of entering into contracts.
- If acting on behalf of an organisation, you have the authority to bind that organisation to these Terms.
- You have read, understood, and agree to these Terms and our Privacy Policy.
These Terms apply to all users of the Platform, including HR Users, Candidates, and visitors. Additional terms may apply to enterprise agreements and are incorporated by reference.
3. Description of Services
3.1 Core Platform
Laituri.ai provides an AI-powered candidate assessment platform that enables HR Users to:
- Create customisable assessments targeting specific competencies and roles
- Invite Candidates to complete assessments via email link
- Receive AI-generated competency reports and scoring
- Compare candidates and manage recruitment pipelines
- Integrate with third-party HR and ATS systems via API
3.2 AI-Generated Outputs
The Platform uses artificial intelligence to process Candidate responses and produce evaluation reports. You acknowledge and agree that:
- AI outputs are advisory tools only. They are not definitive judgements of a Candidate's suitability for a role and must not be the sole basis for any employment decision.
- Laituri.ai does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.
- HR Users are solely responsible for all hiring decisions and for compliance with applicable employment law, including equal opportunity and anti-discrimination obligations.
3.3 Service Availability
We aim to maintain Platform availability of 99.5% measured monthly, excluding scheduled maintenance. Scheduled maintenance will be announced at least 48 hours in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure outages, force majeure events, or your network connectivity.
4. Account Registration and Security
4.1 Registration
To access Platform features, HR Users must register for an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information as needed
- Register only one account per organisation unless otherwise agreed in writing
- Not register using a false identity or on behalf of a third party without authorisation
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:
- Use a strong, unique password and enable multi-factor authentication where available
- Notify us immediately at [email protected] if you suspect unauthorised access
- Never share your credentials with third parties outside your organisation
Laituri.ai is not liable for any loss arising from unauthorised account access caused by your failure to maintain adequate credential security.
4.3 Candidate Access
Candidates do not require an account. They access assessments via a unique link sent by the HR User. By submitting an assessment, a Candidate accepts these Terms to the extent applicable to Candidates.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use the Platform only for lawful purposes and in accordance with these Terms.
5.2 Prohibited Activities
You must not, and must not allow others to:
- Use the Platform to discriminate against candidates on the basis of protected characteristics including but not limited to age, gender, race, ethnicity, religion, disability, sexual orientation, pregnancy, or national origin
- Design assessments with the intent to screen out candidates based on protected characteristics
- Use the Platform for any unlawful purpose or in violation of applicable law
- Attempt to reverse-engineer, decompile, or extract the source code of the Platform
- Scrape, crawl, or systematically collect data from the Platform without written permission
- Transmit viruses, malware, or any harmful code to the Platform
- Circumvent, disable, or interfere with security features of the Platform
- Use automated tools to access the Platform in a way that imposes unreasonable load on our infrastructure
- Reproduce, sell, or sublicense access to the Platform to third parties
- Use the Platform to assess individuals for purposes other than legitimate recruitment or organisational development
6. Candidate-Specific Terms
6.1 Voluntary Participation
Candidates participate in assessments voluntarily. If you are a Candidate and object to being assessed, you should notify the hiring organisation directly. Declining to complete an assessment will not be recorded on the Platform.
6.2 Accuracy of Responses
Candidates agree to complete assessments honestly and without external assistance unless explicitly permitted by the HR User. Submitting responses that misrepresent your abilities may result in your assessment being flagged or disqualified.
6.3 AI Processing and Human Review
Your assessment responses are processed by artificial intelligence to generate a competency report. This constitutes automated decision-making under GDPR Article 22. You have the right to:
- Be informed that automated processing is used (this clause fulfils that obligation)
- Request human review of any AI-generated output that significantly affects you
- Contest AI-generated conclusions by contacting the hiring organisation or [email protected]
6.4 Access to Your Results
Whether you receive a copy of your assessment report is determined by the HR User. You may request access to your personal data held by Laituri.ai under GDPR Article 15 by contacting [email protected]. See our Privacy Policy for full details.
7. HR User Responsibilities
7.1 Data Controller Obligations
When you use the Platform to assess Candidates, you act as an independent data controller for Candidate personal data. You are responsible for:
- Providing Candidates with appropriate notice of assessment and data processing
- Having a lawful basis to process Candidate data (e.g., legitimate interest in recruitment)
- Complying with all applicable data protection laws including GDPR
- Deleting Candidate data upon request or when no longer needed for recruitment purposes
- Responding to data subject access requests from Candidates relating to your assessment data
7.2 Data Processing Agreement
By using the Platform, you enter into a Data Processing Agreement (DPA) with Laituri.ai under which Laituri.ai acts as your data processor for Candidate data. The DPA is incorporated into these Terms by reference. The DPA fulfils the requirements of GDPR Article 28.
7.3 Assessment Design
You are responsible for ensuring that the assessments you design are:
- Job-relevant and proportionate to the role being assessed
- Non-discriminatory and compliant with applicable employment law
- Clearly described to Candidates prior to participation
8. Payment Terms
8.1 Pricing
Current pricing for Packs and Subscriptions is published at www.laituri.ai/pricing. All prices are in Euros and exclude VAT unless stated otherwise. VAT is applied at the applicable Finnish rate for domestic customers and in accordance with EU VAT rules for EU business customers.
8.2 Pack Purchases
Assessment credits purchased in Packs are subject to the following conditions:
- Packs are non-refundable once purchased, except as required by applicable consumer law
- Credits expire 24 months from the date of purchase
- Unused credits are not transferable or redeemable for cash
8.3 Subscriptions
Subscription fees are billed in advance on a monthly or annual basis. Subscriptions automatically renew unless cancelled at least 14 days before the renewal date. No refunds are issued for unused periods of a cancelled subscription.
8.4 Late Payment
Overdue invoices accrue interest at the rate specified in the Finnish Interest Act (Korkolaki, 633/1982). We reserve the right to suspend access to the Platform for accounts with overdue balances after 14 days' written notice.
8.5 Price Changes
We reserve the right to change prices at any time. Price increases will be notified to active Subscribers at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the new pricing.
9. Intellectual Property
9.1 Laituri.ai's IP
The Platform, including all software, AI models, algorithms, designs, trademarks, and content created by Laituri.ai, is the exclusive intellectual property of Laituri.ai Oy and is protected by Finnish and EU intellectual property law. Nothing in these Terms grants you any ownership rights in the Platform.
9.2 Your Content
You retain ownership of any Content you submit to the Platform (e.g., assessment questions you write, job descriptions, Candidate responses). By submitting Content, you grant Laituri.ai a limited, non-exclusive, royalty-free licence to use, process, and store that Content solely to provide the Services.
9.3 Aggregated Data
Laituri.ai may use aggregated, anonymised, and de-identified data derived from Platform usage to improve the Services, train and refine AI models, and publish industry benchmarks. This data will not identify any individual or organisation.
9.4 Feedback
If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant Laituri.ai a perpetual, irrevocable, royalty-free licence to use that Feedback without obligation or compensation to you.
10. Confidentiality
Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent. "Confidential Information" means any non-public information disclosed in connection with these Terms, including pricing, technical specifications, and Candidate data.
These confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed; or (d) must be disclosed by law.
11. Privacy and Data Protection
Our collection and processing of personal data is governed by our Privacy Policy and the Data Processing Agreement. Both documents form part of these Terms.
You agree to process any personal data obtained through your use of the Platform in accordance with applicable data protection law, including the GDPR and the Finnish Data Protection Act (1050/2018).
12. Disclaimers and Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Laituri.ai does not warrant that: (a) the Platform will be error-free or uninterrupted; (b) AI-generated outputs will be accurate, complete, or suitable for any particular hiring decision; or (c) the Platform will meet your specific requirements.
13. Limitation of Liability
13.1 Indirect Damages
To the maximum extent permitted by applicable law, Laituri.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
13.2 Cap on Liability
Laituri.ai's total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform, whether in contract, tort, or otherwise, shall not exceed the greater of: (a) the total fees paid by you to Laituri.ai in the 12 months preceding the claim; or (b) €500.
13.3 Exceptions
Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited under Finnish or EU law; or (d) our obligations under data protection law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Laituri.ai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any applicable law, including employment and data protection law
- Your use of the Platform to discriminate against any individual
- Any Content you submit to the Platform that infringes a third party's rights
15. Term and Termination
15.1 Duration
These Terms apply from the date you first use the Platform and continue until terminated by either party.
15.2 Termination by HR User
HR Users may terminate their account at any time via the account settings or by contacting [email protected]. Termination does not entitle you to a refund of prepaid fees or unused Pack credits.
15.3 Termination by Laituri.ai
We may suspend or terminate your account immediately if:
- You materially breach these Terms and fail to remedy the breach within 14 days of notice
- You engage in prohibited activities under Section 5
- We reasonably suspect fraud, illegal activity, or harm to other users
- We cease to operate the Platform or discontinue a service
15.4 Effect of Termination
Upon termination:
- Your right to access the Platform immediately ceases
- We will retain and process data in accordance with our Privacy Policy and applicable law
- Sections 9, 10, 12, 13, 14, 17, and 18 survive termination
16. Modifications to These Terms
We reserve the right to modify these Terms at any time. For material changes, we will:
- Post the revised Terms on our website with an updated effective date
- Notify registered HR Users by email at least 30 days before the changes take effect
- Display a notice on the Platform for 30 days following publication
If you do not agree with material changes, you may terminate your account before the effective date. Continued use after that date constitutes acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
17.2 Consumer Rights
If you are a consumer (an individual acting outside a business context), your statutory rights under Finnish consumer protection law and applicable EU consumer law are not affected by these Terms.
17.3 Dispute Resolution
We encourage you to contact us first at [email protected] to resolve any dispute informally. If we cannot resolve a dispute within 60 days, either party may bring the matter to the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance, or to the Finnish Consumer Disputes Board (kuluttajariitalautakunta.fi) for consumer disputes.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Laituri.ai regarding the Platform and supersede all prior agreements, representations, and understandings.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.3 Waiver
Failure by Laituri.ai to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Laituri.ai may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, with 30 days' notice.
18.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, internet outages, labour disputes, or pandemics.
18.6 Language
These Terms are written in English. In the event of a conflict between the English version and any translated version, the English version shall prevail.
